Terms of Service

These Terms govern use of Osrilo’s business-management software. Contractors remain responsible for their customers, work, prices, taxes, refunds, employees, and legal obligations. Customer invoice payments go to the contractor receiving the payment—not to Osrilo.

1. Acceptance of these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Osrilo (“Osrilo,” “we,” “us,” or “our”). By creating an account, starting a subscription, accessing the application, or using an Osrilo-powered customer page, you agree to these Terms and our Privacy Policy.

If you use Osrilo for a company or other organization, you represent that you have authority to accept these Terms for that organization. You must be at least 18 years old and legally able to enter a contract.

2. The Osrilo Service

Osrilo provides software for contractor and service businesses, including customer records, work scheduling, estimates, invoices, payments, files, photos, time tracking, reporting, team access, and related tools. Features may be labeled beta, preview, or experimental and may change as the product develops.

Osrilo is a software provider. We are not the contractor, employer, customer, bank, card issuer, insurer, accountant, tax preparer, or legal advisor in transactions managed through the Service.

3. Accounts, workspaces, and security

  • You must provide accurate account and business information and keep it current.
  • You are responsible for safeguarding login credentials and for activity performed through your account.
  • Each workspace owner controls workspace membership, roles, permissions, business records, and connected payment accounts.
  • You must promptly notify support@osrilo.com if you suspect unauthorized access.
  • You may not share one person’s login among multiple people. Use separate team accounts where applicable.

4. Plans, subscription billing, and taxes

Paid plans are billed monthly through Stripe at the price displayed before checkout. By starting a paid subscription, you authorize recurring charges to the payment method selected at checkout until the subscription is cancelled.

  • Plan features, limits, and prices are shown in the application before purchase.
  • Upgrades may take effect immediately and may result in an immediate prorated charge.
  • Downgrades generally take effect at the end of the current billing period.
  • You are responsible for applicable taxes unless Osrilo is legally required to collect them.
  • We may change plans, features, limits, or pricing with reasonable notice when required.

Osrilo absorbs its own subscription card-processing costs. We do not add a customer card surcharge to an Osrilo software subscription.

5. Subscription cancellation and refund policy

You may cancel renewal through Manage Billing. Unless the checkout or applicable law states otherwise, cancellation stops future renewal and paid access continues through the end of the already-paid billing period.

Subscription payments are generally non-refundable. We do not normally provide prorated refunds or credits for partial months, unused time, plan downgrades, or forgotten cancellations. We will provide a refund when required by law or when Osrilo determines that a billing error occurred.

If a subscription payment fails, access may be limited, suspended, or changed to a read-only state until billing is resolved. Deleting an account does not automatically cancel an active Stripe subscription unless the cancellation is completed through the billing controls or confirmed by Osrilo support.

6. Customer estimates, invoices, payments, and refunds

Businesses using Osrilo create their own estimates, invoices, prices, terms, warranties, refund policies, and customer communications. The business—not Osrilo—is responsible for the accuracy and legality of those documents and for delivering the promised goods or services.

When a customer pays an invoice through an Osrilo-powered page:

  • The payment is processed by Stripe for the contractor or business shown on the invoice.
  • Funds are paid to that business’s connected Stripe account.
  • Osrilo does not receive or store the customer’s full card number or bank-account credentials.
  • The contractor or business receiving the payment handles refunds, cancellations, service disputes, and customer questions.
  • Osrilo may help maintain payment records or technical delivery but is not a party to the contractor’s underlying customer agreement.

Customers may be offered card or U.S. bank account (ACH Direct Debit) payment through the same Stripe-hosted checkout. ACH is a delayed-settlement method and may remain processing for several business days. An invoice balance changes only after Stripe confirms final success; pending, failed, cancelled, or expired bank payments do not count as paid.

Where a contractor has lawfully enabled a credit-card surcharge, the surcharge must be disclosed before the customer confirms payment and must comply with applicable law and card-network rules. ACH bank payments, debit cards, and prepaid cards are not surcharged by this Osrilo flow. The exact card surcharge and final total, if any, must be shown by the payment processor before confirmation.

7. Business and customer content

You retain ownership of information and files you submit to Osrilo (“User Content”). You grant Osrilo a limited license to host, process, copy, transmit, display, and back up User Content only as reasonably necessary to provide, protect, and improve the Service and comply with law.

You represent that you have the rights and permissions needed to upload and use User Content, including customer contact information, photos, documents, and employee data. You are responsible for notices and consents required by privacy, employment, recording, communications, and consumer-protection laws.

8. Acceptable use

You may not use Osrilo to:

  • violate law, card-network rules, intellectual-property rights, privacy rights, or contractual duties;
  • send spam, deceptive messages, unlawful marketing, or communications without required consent;
  • upload malware, exploit vulnerabilities, bypass plan limits, or interfere with the Service;
  • access another person’s data without authorization;
  • submit false payment information, facilitate fraud, or misrepresent goods or services;
  • reverse engineer or copy protected portions of the Service except where law expressly permits it.

9. Email, text, and service communications

You authorize Osrilo to send transactional and service messages necessary to operate your account, such as verification, security, billing, document-delivery, schedule, and payment messages. Businesses are responsible for obtaining any consent required before sending customers or workers email or text messages through Osrilo.

10. Osrilo ownership

Osrilo and its licensors own the Service, software, design, branding, documentation, and related intellectual property, excluding User Content. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service while your account is authorized and compliant.

11. Third-party services

Osrilo relies on third parties such as Stripe, Supabase, Netlify, email providers, and other infrastructure providers. Their services may have separate terms and privacy policies. We are not responsible for third-party outages, account decisions, or acts beyond our reasonable control.

12. Availability, backups, and product changes

We work to keep Osrilo reliable, but uninterrupted or error-free operation is not guaranteed. You should keep independent copies of records that are essential to your business, taxes, legal obligations, payroll, or customer commitments.

We may add, change, limit, suspend, or discontinue features to improve security, comply with law, respond to provider changes, or develop the product. We will provide reasonable notice of material changes when practical.

13. Suspension and termination

You may stop using Osrilo at any time, subject to outstanding subscription charges and data-retention processes. We may restrict or terminate access for nonpayment, security risk, abuse, unlawful conduct, harm to other users, provider requirements, or material violation of these Terms.

Where practical, we will provide notice and a reasonable opportunity to export appropriate data. We may retain or delete data as described in the Privacy Policy and as required for security, fraud prevention, payment records, legal compliance, backups, and dispute resolution.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSRILO IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OSRILO DOES NOT GUARANTEE BUSINESS RESULTS, CUSTOMER PAYMENT, LEGAL COMPLIANCE, TAX TREATMENT, EMPLOYEE CLASSIFICATION, OR THE ACCURACY OF USER-PROVIDED INFORMATION.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSRILO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR SERVICE INTERRUPTION.

OSRILO’S TOTAL LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OSRILO FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold Osrilo and its operators, affiliates, and service providers harmless from claims, losses, liabilities, damages, and reasonable expenses arising from your User Content, customer or employment relationships, goods or services, payment or refund decisions, unlawful communications, or violation of these Terms or law.

17. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. Unless applicable law requires otherwise, disputes that cannot be resolved informally will be brought in the state or federal courts serving Whitley County, Kentucky, and each party consents to those courts’ jurisdiction.

Before filing a claim, please contact support@osrilo.com and give us a reasonable opportunity to resolve the issue.

18. Changes to these Terms

We may update these Terms. The current version and effective date will remain posted here. If a change materially affects your rights, we will provide reasonable notice through the Service, email, or another appropriate method. Continued use after the effective date constitutes acceptance of the updated Terms.
